A Thai company limited must hold its first ordinary shareholders’ meeting within six months of registration and afterwards at least once every twelve months. The annual meeting approves the financial statements, so the later filings depend on it being held and recorded correctly. Properly kept minutes are also the first thing a bank, buyer or authority asks to see.

  • Notices and agenda: notice, agenda and proxy forms in the form your Articles require, with the notice period and quorum checked.
  • Annual meeting business: approval of the financial statements, dividends, appointment of the auditor and election of directors.
  • Board meetings: resolutions on signing authority, banking, major contracts and share transfers.
  • Minutes: drafted accurately and kept with the company records; the minutes approving the financial statements are filed with the registrar.
  • Meeting calendar: a yearly schedule of board and shareholder meetings, so each filing deadline is planned from the meeting date.
  • Written resolutions and extraordinary meetings: for urgent matters such as capital changes, Articles amendments or director changes.
