A deal can be commercially agreed and still fail if a required approval is missing. We identify the clearances at the start and build them into the timetable and the agreement, so closing is not delayed by a surprise from an authority.
- Foreign business license: needed where a foreign-controlled company will carry on a restricted activity.
- Merger control: under the Trade Competition Act, a combination that may significantly reduce competition must be notified to the Trade Competition Commission within 7 days after completion, and one that may create a monopoly or market dominance needs prior permission.
- Sector regulators: finance, telecoms, energy, education and healthcare may need regulator approval for a change of ownership.
- BOI: a change of ownership or structure of a promoted company may need notification or approval.
- Land and property: transfers involving land or property may involve foreign ownership restrictions and require specific approvals.
- Timing: approvals can take weeks or months, so we map each one against the closing timetable at the outset.
